SVP AFFILIATE PARTNER AGREEMENT

This Affiliate Partner Artist Agreement is entered into on this day of Tuesday, June 9th, 2026 (hereinafter referred to as "the Agreement"), between SHIELD Investment Corp, owner of SpiralVortexPlay and all of its affiliates and (trade name or full name). SHIELD Investments Corp (hereinafter shall be referred to as "SIC"), and SpiralVortexPlay (hereinafter shall be referred to as "SVP"). The Affiliate Partner Artist (hereinafter shall be referred to as "AP").

HEREIN:

SVP provides a website that will assist Affiliate Partners with the marketing, promotion, hosting and development of their works. The website consists of multiple video games with original designed computer generated characters going through the game story line with and without adult content. The website also includes videos, photo image gallery, music and more. This site is also setup for subscription purchase for access.

WITNESSETH:

WHEREAS, AP has entered into this agreement to perform the tasks and provide the information required to execute the Affiliate Partner setup process through completion. AP must adhere to all of the Terms and Conditions set forth in this agreement. The works and tasks to be provided by the AP shall be as indicated in section 1 "Agreement Scope Description" and section 2 "Membership" of this agreement.

NOW, THEREFORE, THE PARTIES INTENDING TO BE LEGALLY BOUND AGREE AS FOLLOWS:

1 - AGREEMENT SCOPE DISCRIPTION

1.1 AP agrees to furnish and deliver all approved works in accordance with SVP policies, terms and conditions of this agreement.

1.2 AP must provide a list and description of works to be included on the site upon demand.

1.3 AP shall provide all requested data and/or information regarding works during the approval process.

1.4 AP agrees to furnish (deliver) different works to the SVP website on a continuous basis during the life of this agreement. Minimum delivery shall be one (1) completed work per month of any media type to the members area or non-members area, given SVP request, and subject to altering by SVP. Delivery requirements can be negotiated after the approval process.

1.5 Substantial deviations from the aforesaid proposal of works shall be discussed with and are subject to the advance written approval of SIC's Management.

1.6 AP agrees to submit works that only they have created or have express rights to distribute commercially.

2 - MEMBERSHIP

2.1 Affiliate Membership

This allows the AP to have access to all of the privileges and protection offered by SVP. The AP will be able to submit works to the site while being copyright protected as indicated in Section 11 of this document.

2.2 Rating of Works

This allows the AP to submit works to the website. The AP works that are submitted to the website will be exposed to a rating system within SVP and rated by the SVP community. Ratings shall be based upon the number of one-time votes. Based on the current total ratings of all your works, in comparison to the current total ratings of all works on the website, you will earn a percentage of total income for that month from total monthly subscriptions.

3 - PERIOD OF PERFORMANCE

3.1 The Performance of this Agreement shall begin on the date of execution and shall not end until the agreed upon by either party and approved by SIC. AP shall provide written notice five business days prior to end date. SIC may terminate this agreement immediately and without notice if AP violate the terms of this agreement.

3.2 AP agrees to maintain a minimum quality and effort level of submissions to SVP as judged by SVP during the period of this Agreement, and agrees that failure to do so may result in termination of this agreement.

4 - PAYMENT

4.1 Payment to AP shall be made electronically to an account of your choice, or by mailed check. This may be negotiated after the approval process.

4.2 Payment shall be made only after a minimum of fifty US dollars is earned. Only fifty dollars and above shall be paid out throughout a given year. Amounts earned roll over into the next year if not paid out.

5 - TAXES

5.1 The AP shall agree to pay all taxes that are imposed upon the total amount paid out during the tax year. The AP must adhere to the tax reporting requirements of the Department of the Treasury, Internal Revenue Service.

5.2 AP agrees to provide tax information requested by SIC to adhere to tax reporting requirements.

6 - APPROVALS

6.1 All works created for the purpose of subscription access shall be approved by SVP before posting to the website. AP is eligible to have works pre-approved by SVP. No works shall be distributed or posted in accordance with this agreement without approval or pre-approval of SVP.

7 - INDEMNIFICATION

7.1 AP agrees to indemnify and hold SIC and/or SVP harmless for any loss, claim, damage, or liability of any kind arising out of this Agreement resulting from any activities.

8 - TRANSFER OF ACCOUNT

8.1 The right to use SVP website services is not transferable in any way. Use of SVP AP account is expressly limited to the individual or business whose name appears on this agreement.

9 - RELATIONSHIP of PARTIES

9.1 Nothing in this Agreement will create any partnership, joint venture, agency, and franchise or employment relationship between the parties. You will have no authority to make decisions on the behalf SVP. You will not make any statement or post on this website or anywhere that contradicts polices of SVP and the terms and conditions of this agreement.

10 - CONFIDENTIALITY

10.1 The AP shall not disclose to others any information relating to this agreement.

10.2 No release, including digital or data of any kind concerning the subject matter of this agreement shall be provided to others without the approval of SVP.

10.3 The AP shall not redistribute or assist in redistributing material in the members section of this website without written approval of SVP.

10.4 The AP agrees to not distribute or assist in redistributing material in the members section created from any other AP without written approval of SVP and the said AP.

11 - COPYRIGHT PROTECTION

11.1 Copyright is a form of legal protection provided by the laws of the United States (Title 17, U.S. Code) to the authors of "original works of authorship". This protection is available for published and unpublished works.

11.2 International protection is also provided by the copyright code. The United States has copyright treaties with most countries throughout the world. Currently U.S Copyright is honored in 190 countries around the world. Your works will be protected.

11.3 SVP Copyright shall protect your (AP) works and help prevent theft and plagiarism. If proven copyright infringement has occurred to one of your works, you will be entitled to the same support by the U.S. Copyright Laws as SVP. This will include but not limited to legal relief such as injunction, impounding and disposition of infringing articles, attorney’s fees, actual damages and profits of the infringing party.

11.4 Derivative works is defined by "works containing material that is not your own". Some works may be based upon one or more pre-existing works, where the changed version incorporates a substantial amount of pre-existing material that has been published or registered for copyright, or has fallen into the public domain. These works cannot be Copy Right protected. These types of works shall not be included into this agreement.

11.5 The AP has the option of adding or not, the SVP copyright logo to works agreed upon by SIC. SVP will hold copyrights to these works for the duration of this agreement for non sponsored works. For sponsored works, SVP shall hold the same rights even after termination of this agreement.
